End User License Agreement (EULA) for ScheduleFai

This End User License Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and ScheduleFai ("we," "us," or "our"). By downloading, installing, or using the ScheduleFai mobile application ("the App"), you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not use the App.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the App solely for personal or professional purposes in accordance with this Agreement.

2. Restrictions on Use

You agree not to:

Copy or Distribute: Reproduce, distribute, or sublicense the App without our explicit consent.
Reverse Engineer: Modify, decompile, disassemble, or reverse-engineer the App.
Unlawful Use: Use the App for any unlawful purposes or activities.
Interfere with Functionality: Interfere with the App’s operation, security, or related services.
Unauthorized Access: Attempt to gain unauthorized access to the App, its related systems, or networks.

3. Ownership

The App, including all intellectual property rights, is owned by ScheduleFai. This Agreement does not grant you ownership of the App or any of its content. All rights not expressly granted in this Agreement are reserved by us.

4. Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into this Agreement by reference. Please review the Privacy Policy to understand how your data is collected, used, and shared.

5. Updates and Modifications

Updates: We may update or modify the App at our discretion to improve functionality or address security issues.
Compatibility: You are responsible for ensuring that your device meets the minimum requirements to use the updated version of the App.
Mandatory Updates: Continued use of the App may require the installation of updates. Failure to update may result in limited functionality.

6. Termination

This Agreement is effective until terminated by either party. You may terminate it by uninstalling the App. We may terminate this Agreement or suspend your access to the App at any time for any reason, including but not limited to:

Violation of this Agreement.
Disruption of the App’s functionality or services.
Use of the App for illegal activities.

Upon termination, you must cease using and delete all copies of the App.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

No Warranties: The App is provided “as is” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
Limited Liability: In no event will we be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the App.
Maximum Liability: Our total liability for damages shall not exceed the amount you paid, if any, for accessing or using the App.

8. Indemnification

You agree to indemnify and hold harmless ScheduleFai, its affiliates, employees, and licensors from any claims, damages, or expenses (including legal fees) arising out of:

Your violation of this Agreement.
Your unauthorized use of the App.
Your violation of any third-party rights.

9. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved exclusively in the courts located in [Insert Jurisdiction].

10. Changes to the Agreement

We reserve the right to modify or update this Agreement at any time. If we make significant changes, we will notify you by app notification or other appropriate means. Continued use of the App after changes are made constitutes your acceptance of the revised Agreement.

12. Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between you and ScheduleFai regarding the use of the App.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver: Our failure to enforce any provision of this Agreement shall not be deemed a waiver of our right to enforce that provision or any other provision.
